Agreement to Terms
By accessing or using the Halcyon website and services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services.
Services
Halcyon provides digital marketing services including, but not limited to: search engine optimization (SEO), web design and development, paid advertising management, social media marketing, email marketing, and content marketing.
We reserve the right to modify, suspend, or discontinue any aspect of our services at any time without notice.
Service Agreements
Specific terms for our marketing services will be outlined in separate service agreements or contracts. Those agreements will govern the scope of work, pricing, deliverables, and other service-specific terms.
Payment Terms
- Payment terms will be specified in your service agreement
- All fees are non-refundable unless otherwise stated in your agreement
- Late payments may result in suspension of services
- We reserve the right to adjust pricing with 30 days' notice
Client Responsibilities
As a client, you agree to:
- Provide accurate and complete information
- Respond to requests for information in a timely manner
- Provide necessary access to accounts, platforms, and resources
- Review and approve deliverables within agreed timeframes
- Comply with all applicable laws and platform terms of service
Intellectual Property
Client Content
You retain ownership of all content, materials, and intellectual property you provide to us. By providing content, you grant us a license to use, reproduce, and modify it solely for the purpose of delivering our services.
Our Work Product
Upon full payment, you will own the final deliverables created specifically for you (e.g., website designs, custom content). We retain ownership of our methodologies, processes, tools, and any pre-existing materials.
Third-Party Tools
Some deliverables may incorporate third-party tools, templates, or resources subject to their own licenses. We do not transfer ownership of these third-party materials.
Confidentiality
Both parties agree to keep confidential information disclosed during our business relationship private and secure. This obligation continues after the termination of services.
Warranties and Disclaimers
We will perform our services with reasonable skill and care. However, we make no guarantees about specific results, rankings, traffic, or revenue. Marketing results depend on many factors beyond our control.
Our services are provided "as is" without warranties of any kind, express or implied. We disclaim all warranties including, but not limited to, warranties of merchantability, fitness for a particular purpose, and non-infringement.
Limitation of Liability
To the maximum extent permitted by law, Halcyon shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly.
Our total liability for any claims arising from our services shall not exceed the amount you paid us in the 6 months preceding the claim.
Termination
Either party may terminate services as outlined in the service agreement. Unless otherwise specified, termination requires 30 days' written notice.
We may terminate services immediately if you:
- Fail to pay invoices within agreed terms
- Breach these Terms or your service agreement
- Engage in illegal or unethical practices
- Misuse our services or harm our reputation
No Lock-In Contracts
We believe in earning your business through results, not contracts. Unless otherwise agreed, our services are provided on a month-to-month basis. Either party may terminate with 30 days' written notice.
Indemnification
You agree to indemnify and hold Halcyon harmless from any claims, damages, or expenses arising from your use of our services, your content, or your violation of these Terms or applicable laws.
Dispute Resolution
Any disputes arising from these Terms or our services shall first be addressed through good faith negotiation. If negotiation fails, disputes will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions.
Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Continued use of our services after changes constitutes acceptance of the new Terms.
Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
